1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the Neebora website (neebora.com) and platform, provided by Neebora Technologies, a brand operated by Viraj Bharat Pokar, a sole proprietorship registered in India ("Neebora", "we", "us").
By creating an account, applying for early access, or using the Neebora platform in any way, you ("Customer", "you") agree to be legally bound by these Terms and our Privacy Policy. If you use Neebora on behalf of a company or organisation, you confirm that you have authority to bind that entity and that these Terms apply to it. If you do not agree, do not use Neebora.
2. What Neebora is
Neebora is a software platform for event management companies and wedding planners. It enables a Customer to:
- Create a business account and manage multiple event projects under it;
- Connect a dedicated WhatsApp number to each project via Meta's Coexistence feature;
- Maintain a separate guest list and conversation history for each project;
- Send WhatsApp messages (invitations, updates and reminders) to opted-in guests using approved message templates;
- Receive and manage guest replies and RSVP responses from a shared inbox.
Neebora is in active development and is offered to selected Customers as an early-access service. Features described on our website represent the platform we are building and may change, be added or be removed before or after public launch. We will notify Customers of significant changes.
3. Eligibility and accounts
- Neebora is for businesses and professionals. You must be at least 18 years old and legally capable of entering a binding contract under applicable Indian law.
- You must provide accurate, current and complete information when registering and keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@neebora.com if you suspect unauthorised access.
- We reserve the right to refuse registration or suspend an account if we cannot verify the information provided or if we have reason to believe the account is being used in violation of these Terms.
4. WhatsApp number connection (Coexistence)
Each project in Neebora is connected to a WhatsApp number through Meta's Coexistence feature, which allows a number registered in the WhatsApp Business app to also be connected to the WhatsApp Business Platform API.
- You connect each number yourself by completing Meta's own sign-in and authorisation flow. You decide what access to grant Neebora, and you can revoke that access at any time through Meta's Business Settings.
- You are responsible for ensuring that you own or have the right to use each WhatsApp number you connect to a project, and that connecting it complies with Meta's WhatsApp Business Terms of Service.
- Neebora is a technical intermediary. We are not responsible for Meta's decisions regarding your WhatsApp Business Account, including any restriction, suspension or policy enforcement Meta applies to your account or number.
- Meta may change the Coexistence feature, its availability or its pricing at any time. We will notify you of changes we become aware of but cannot guarantee continuity of Meta's services.
5. Guest consent and messaging rules
This section is critical. Violations here are the most common reason WhatsApp accounts are restricted and Meta App Review applications are rejected. You agree that you will at all times:
- Obtain valid prior consent from every guest before adding them to a project guest list or sending them any message through Neebora. Consent must be freely given, specific and informed. You must keep records of how and when you obtained each guest's consent.
- Send only relevant, event-related messages — invitations, event updates, schedule changes, RSVP requests and similar communications directly related to an event the guest is attending or has been invited to.
- Use WhatsApp-approved message templates for all business-initiated messages (messages sent outside an active guest-initiated conversation window). You are responsible for submitting accurate templates and ensuring they comply with Meta's template guidelines.
- Honour opt-out and stop requests immediately. If a guest replies STOP, OPT OUT, or otherwise asks not to receive further messages, you must stop messaging them promptly and remove them from future broadcasts. Ignoring opt-outs is a breach of these Terms and of WhatsApp's policies.
- Not send unsolicited messages to people who have not given consent, even if you have their phone number from another source.
- Not use Neebora for bulk marketing campaigns unrelated to a specific event the guest is part of, promotional advertising, multi-level marketing, or any purpose that WhatsApp's Messaging Policy prohibits.
- Comply with all applicable laws governing electronic communications, data protection and consumer rights, including the Information Technology Act 2000, the DPDP Act 2023, and the Telecom Commercial Communications Customer Preference Regulations (TCCCP) where applicable.
Neebora does not pre-screen messages before they are sent. You are solely responsible for the content and lawfulness of every message sent through the platform.
6. Prohibited use
You must not use Neebora to:
- Send spam, unsolicited bulk messages, or messages to people who have not consented;
- Send content that is illegal, defamatory, abusive, harassing, obscene, sexually explicit, or that incites violence or hatred;
- Impersonate another person, business or brand;
- Introduce malware, viruses or malicious code into the platform or its infrastructure;
- Attempt to gain unauthorised access to the platform, other Customers' data, or Neebora's systems;
- Reverse-engineer, decompile, copy or create derivative works of the platform without our written consent;
- Resell, sublicence or offer Neebora's functionality as a service to third parties (acting as a BSP or reseller) without a separate written agreement;
- Use the platform in a way that violates Meta's WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy or WhatsApp Commerce Policy;
- Circumvent any rate limits, usage controls or security measures.
7. Customer data
You retain ownership of the data you and your guests put into Neebora ("Customer Data"). You grant Neebora a limited licence to process Customer Data solely to provide the platform services, as described in our Privacy Policy.
You are responsible for:
- Having the legal right to collect and upload all Customer Data, including valid guest consent;
- The accuracy, completeness and lawfulness of Customer Data;
- Ensuring that your use of Customer Data through Neebora complies with applicable privacy laws and WhatsApp's policies.
Each project's guest data is completely isolated from other projects and other Customers. Neebora does not share one Customer's data with another.
8. Fees and billing
Early access: The early-access programme is currently offered at no charge. Continued free access is not guaranteed and may be converted to a paid plan with notice.
Paid plans (to be introduced): Once paid plans are launched, Neebora's pricing will follow a three-tier model:
- Annual business subscription: A fixed annual fee per business account, covering platform access.
- Monthly project fee: A fixed monthly fee per active project (event).
- Usage-based message charges: Per-message or per-conversation charges that reflect Meta's WhatsApp Business Platform conversation pricing, passed through to Customers. These charges vary by message type (utility, marketing, authentication, service) and recipient country, as set by Meta. Neebora will publish a clear pricing schedule before paid plans are activated.
Payments will be processed through Razorpay or an equivalent RBI-authorised payment gateway. By providing billing information, you authorise us to charge the applicable fees to your payment method. All fees are exclusive of applicable taxes (including GST), which are your responsibility.
We reserve the right to change our pricing with at least 30 days' written notice to account holders before the change takes effect.
9. Cancellation and refunds
Annual subscription: You may cancel your annual subscription at any time. Cancellation takes effect at the end of the current billing year. No refund is provided for the unused portion of a prepaid annual term, except where required by applicable Indian law or at our sole discretion.
Monthly project fees: Monthly project fees are non-refundable once a billing cycle has started.
Usage charges: Message-based usage charges reflect messages already sent and are non-refundable, except in the case of a verified platform error on Neebora's part.
Early termination: If we suspend or terminate your account for breach of these Terms, no refund will be issued for any prepaid fees.
Our right to offer refunds: Nothing in this section limits our ability to offer refunds or credits at our discretion in exceptional circumstances.
10. Platform availability
We aim to keep Neebora available and reliable, particularly during time-sensitive event periods. However, we do not guarantee uninterrupted access. The platform may be unavailable due to scheduled maintenance (for which we will provide advance notice where possible), technical incidents, or factors beyond our control, including Meta's platform availability and force majeure events.
To the fullest extent permitted by law, Neebora is not liable for any loss, cost or damages arising from platform unavailability, including losses resulting from messages that could not be sent during an outage.
11. Intellectual property
Neebora, its software, design, name, logo and all content on the platform belong to Neebora Technologies or its licensors. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the platform while your account is active and in compliance with these Terms. No other rights are granted.
If you submit feedback, suggestions or ideas about the platform, you grant us an irrevocable, royalty-free licence to use them to develop and improve the platform, without any obligation to you.
12. User content
You may upload or submit content such as guest lists, message templates, event details and media files ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Neebora a limited licence to process, store and transmit it solely to provide the platform services.
You represent and warrant that you own or have the necessary rights to your User Content, that it does not infringe any third-party rights, and that it does not violate any applicable law or these Terms. We reserve the right to remove User Content that violates these Terms, though we are not obligated to monitor or review all content.
13. Meta Platforms and WhatsApp
Neebora works with the WhatsApp Business Platform, a service provided by Meta Platforms, Inc. Neebora is an independent product and is not affiliated with, endorsed by or sponsored by Meta or WhatsApp.
By using Neebora's WhatsApp features, you also agree to:
- WhatsApp Business Terms of Service (whatsapp.com/legal/business-terms/)
- WhatsApp Business Messaging Policy (whatsapp.com/legal/business-policy/)
- WhatsApp Commerce Policy
- Meta Platform Terms and Developer Policies
Meta controls its platform, including message delivery, template approval, account eligibility, conversation pricing, and enforcement. Meta may restrict, suspend or permanently disable a WhatsApp Business Account for violations of its policies. Neebora has no control over and is not responsible for Meta's decisions or any changes Meta makes to its platform, pricing or policies.
14. Payment service providers
Payments are processed by Razorpay or an equivalent RBI-authorised payment gateway ("Payment Service Provider"). By making a payment, you agree to the Payment Service Provider's own terms and privacy policy. Neebora is not responsible for errors, delays or losses arising from the Payment Service Provider's systems. We will never ask you to transfer money to a private account or to any account not held in Neebora Technologies' name. You are responsible for transactions made through your payment method.
15. Other third-party services
The platform may integrate with or link to third-party services (including hosting providers, analytics tools and email services). Neebora is not responsible for the practices, availability or content of third-party services. Your use of third-party services is governed by their own terms and policies.
16. No warranties
The platform is provided "as is" and "as available", particularly during the early-access phase. To the fullest extent permitted by Indian law, Neebora disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted and error-free operation.
We do not warrant that:
- Any particular message will be delivered, read or result in a response (delivery depends on Meta, mobile networks and the recipient's device);
- The platform will meet your specific requirements;
- Any errors or defects will be corrected within a particular timeframe.
17. Limitation of liability
To the fullest extent permitted by applicable Indian law, Neebora and its proprietor shall not be liable for:
- Indirect, incidental, special, consequential or punitive damages;
- Loss of profits, revenue, data, goodwill or business opportunity;
- Damages arising from Meta's actions regarding your WhatsApp Business Account;
- Losses resulting from messages that were not delivered, delayed or blocked;
- Losses arising from your breach of these Terms or WhatsApp's policies;
- Damages caused by third-party payment service providers.
Our total aggregate liability to you for any claim relating to the platform, whether in contract, tort or otherwise, is limited to the total fees you paid to Neebora in the three months preceding the event giving rise to the claim, or ₹10,000 if you paid nothing. Nothing in these Terms limits liability that cannot be limited under mandatory Indian law, including liability for fraud or wilful misconduct.
18. Indemnity
You agree to indemnify, defend and hold harmless Neebora Technologies and Viraj Bharat Pokar from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the platform in violation of these Terms;
- Messages you send without valid guest consent or in violation of WhatsApp's policies;
- Your Customer Data or User Content;
- Your breach of any applicable law;
- Any claim by a guest arising from your use of Neebora to message them.
19. Suspension and termination
By you: You may close your account at any time by emailing hello@neebora.com. Closure takes effect within 7 business days. Customer Data is deleted within 30 days of closure, as described in our Privacy Policy.
By us: We may suspend or terminate your account, with or without notice, if:
- You breach these Terms or WhatsApp's policies;
- Meta restricts, suspends or terminates your WhatsApp Business Account;
- We are required to do so by law or regulatory authority;
- We reasonably believe continued access poses a risk to the platform or other users;
- We discontinue the early-access programme or the platform.
Where practicable, we will give reasonable notice before suspension or termination. No refund will be issued for prepaid fees where termination is due to your breach.
20. Privacy Policy
Our Privacy Policy explains how we collect, use, share and protect personal information in connection with the platform. By using Neebora, you also agree to the Privacy Policy, which is incorporated into these Terms by reference.
21. Cookie Policy
